­Software User Agree­men­t

IM­POR­TANT: PLEASE READ THIS AGREE­MENT CAREFULLY BEFORE CONTIN­UING WITH THE INSTAL­LATION PROCESS OF THE SOFTWARE ("THE SOFTWARE"). BY INSTALLING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREE­MENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREE­MENT, DO NOT INSTALL THE SOFTWARE. ANY REFERENCE TO RESILIENT TRADERS DIRECTLY IMPLIES RESILIENT TRADERS, LLC.

1. Li­cense. If you have purchased a license to the Software, Resilient Traders, LLC grants you a nonex­clusive right and license to use the Software and the related docu­men­tation (the "­Doc­u­men­ta­tion") as set forth in this Agree­ment. You may use the Software on the specified number of comput­ers subject to the SUBSCRIPTION limi­ta­tions you regis­tered for. Every plan has a specific number of MT4 usable instances, called licenses (one license for every instance). An instance is a single MT4 account on a single computer. When you start using MT4Pro­fes­sional on a new instance, a new license will be used. You can free up the linked license using "remove license" function­al­ity from member area, making this license available for a new instance. You can use MT4Pro­fes­sional on new instances as long as you have available licenses according to the plan you subscribed and licenses already used. Every plan has a specific number of available MT4 instances split into real MT4 instances (real license) and demo MT4 instances (demo license). Whereas real MT4 instance means the account used in the MT4 is a real account, demo MT4 instance means the account used in the MT4 is a demo account. So when you start using MT4Pro­fes­sional on a new instance a new license of the same account type (real or demo) will be used. If you subscribe to the Basic Plan you have One (1) real license and One (1) demo license. If you subscribe to the Gold Plan, you have Ten (10) real licenses and Ten (10) demo licenses. If you subscribe to the Platinum Plan, you have one hundred (100) real licenses and one hundred (100) demo licenses. Addi­tional licenses or lifetime plans could be requested via email to support@mt4professional.com and the price will be decided by the sales team. For each plan the cost is charged to your credit card (you inserted during the regis­tration phase) monthly or yearly (according to your prefer­ences - monthly is default option) according to the plans published on the site https://mt4professional.com/pricing.html. However during some special peri­ods we could offer some special discounts so for your specific case (for example you have bought during one of these peri­ods) you may have to refer to your profile https://admin.mt4professional.com/settings#/subscription looking at subscrip­tions price and discount applied to you. Some discounts are applied via coupon, you can only have one coupon at a time, so if you insert another coupon this will overwrite the previous coupon discount. In some partic­ular sit­u­a­tions and for partic­ular se­lected clients a free eval­u­ation copy ­could be provided, this could be limited in terms of time, the condi­tions will be decided from time to time. You own the media on which the Software is recorded, but not the Software itself or any copy of it. This license is not a sale of the orig­inal or any copy of the Software.

2. ­Copying, Trans­ferring or Modi­fying Software. The Software contains copyrighted mate­rial, trade secrets and other propri­etary intel­lec­tual property. You may not permit concur­rent use of the Software unless each user has an applic­able license. You may not permit other indi­vid­u­als to use the Software except under the terms listed above. For the purposes of protecting Resilient Traders, LLC trade secrets, you may not decom­pile, disas­semble, reverse engineer or otherwise display the Software in human readable form. You may not modify, trans­late, rent, lease, distribute or lend the Software, and you may not sell to others the right to use the Software on your computer. You may not remove any propri­etary notices or labels on the Software. You may not copy, trans­fer, transmit, subli­cense or assign this license or the Software except as expressly permitted in this Agree­men­t.

3. Term. If you have purchased a license to the Software, this Agree­ment and license are effective from the time you accept the terms of this Agree­ment until this Agree­ment is termi­nated. You may terminate this Agree­ment at any time by destroying all copies of the Software. This Agree­ment will terminate imme­di­ately and without further notice if you fail to comply with any provision of this Agree­ment. All oblig­a­tions of confi­den­tial­ity and restric­tions on use, and all other provi­sions that may reasonably be inter­preted to survive termi­nation of this Agree­ment, will survive termi­nation of this Agree­ment for any reason. Upon termi­na­tion, you agree to destroy all copies of the Software. If you have obtained an eval­u­ation copy of the Software, and have not purchased a license to the Software, this Agree­ment and license are effective for a period of thirty (30) days from the date of instal­lation of the Software.

4. War­ranty Disclaimers. THE SOFTWARE AND THE DOCU­MEN­TATION ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, STATU­TORY OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABIL­ITY, FITNESS FOR A PARTIC­ULAR PURPOSE AND NONIN­FRINGE­MENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFOR­MANCE OF THE SOFTWARE AND THE DOCU­MEN­TATION IS WITH YOU. SHOULD THE SOFTWARE OR THE DOCU­MEN­TATION PROVE DEFEC­TIVE, YOU (AND NOT RESILIENT TRADERS) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIR. RESILIENT TRADERS, LLC DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIRE­MENTS OR OPERATE IN THE COMBI­NATION THAT YOU MAY SE­LECT FOR USE, THAT THE OPER­ATION OF THE SOFTWARE WILL BE UNIN­TER­RUPTED OR ERROR FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. NO ORAL OR WRITTEN STATE­MENT BY RESILIENT TRADERS OR BY A REPRE­SEN­TATIVE OF RESILIENT TRADERS, LLC SHALL CREATE A WARRANTY OR INCREASE THE SCOPE OF THIS WARRANTY. Notwith­standing the above, you may have certain warranty rights which vary from state to state and which cannot be disclaimed by contract. Any warranties that by law survive the foregoing disclaimers shall terminate ninety (90) days from the date you received the Software as shown by your receipt. Some states do not allow limi­ta­tions on how long an implied warranty lasts, so the foregoing limi­tation may not apply to you if prohib­ited by law.

5. Lim­i­tation of Lia­bil­ity. YOUR SOLE REMEDIES AND RESILIENT TRADERS, LLC ENTIRE LIA­BIL­ITY ARE SET FORTH ABOVE. IN NO EVENT WILL RESILIENT TRADERS BE LIABLE FOR DIRECT, INDIRECT, INCI­DENTAL OR CONSE­QUENTIAL DAMAGES RESULTING FROM THE USE OF THE SOFTWARE, THE INABIL­ITY TO USE THE SOFTWARE, OR ANY DEFECT IN THE SOFTWARE, INCLUDING ANY LOST PROFITS, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSI­BIL­ITY OF SUCH DAMAGE. IN NO EVENT WILL RESILIENT TRADERS TOTAL LIA­BIL­ITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, INCLUDING NEGLI­GENCE, OR OTHER­WISE) EXCEED THE AMOUNT YOU PAID FOR THIS PRODUCT. SOME JURIS­DIC­TIONS DO NOT ALLOW THE EXCLUSION OR LIMI­TATION OF RELIEF, INCI­DENTAL OR CONSE­QUENTIAL DAMAGES, SO THE ABOVE LIMI­TATION OR EXCLUSION MAY NOT APPLY TO YOU. YOUR ARE THE ONLY RESPON­SIBLE FOR ALL SYSTEMS USED AND INTE­GRATED WITH MT4PRO­FES­SIONAL. YOU ARE THE ONLY RESPON­SIBLE FOR ALL DATA, CONFIG­U­RA­TIONS AND SNAP­SHOTS USED WITH MT4PRO­FES­SIONAL AND UPLOADED TO THE CLOUD, RESILIENT TRADERS, LLC IS NOT RESPON­SIBLE FOR ALL YOUR DATA, CONFIG­U­RA­TIONS AND SNAP­SHOTS UPLOADED (ALSO PUBLIC ONES) TO MT4PRO­FES­SIONAL CLOUD, YOU ARE THE ONLY RESPON­SIBLE FOR THEM. DUE TO WINDOWS LIMI­TA­TIONS WHEN AN AUTO SNAPSHOT HAS TO BE TAKEN, MT4PRO­FES­SIONAL IS NOT ALWAYS ABLE TO FOCUS THE PROPER WINDOW, THIS MEANS THAT IF THERE IS ANOTHER WINDOW THAT HAS THE FOCUS (I.E. THAT IS NOT MT4) MT4PRO­FES­SIONAL WILL CAPTUR A SCREENSHOT OF THIS OTHER WINDOW.

6. Terms of Disk Space and Bandwidth Usage. Resilient Traders reserves the right to limit the amount of space used to store customer acquired snap­shots, images, or system settings and backups. The limit for snap­shots storage is 100 Gb, for config­u­ra­tions storage is 1 Gb. The limit for total bandwidth is 100Gb/­month. Resilient Traders reserves the right to change or amend these limits at any time and without warning. Addi­tional rate limits could be added to lifetime plans. These limits are monthly based, they are not related to subscription billing cycle.

7. Terms of Noti­fi­ca­tions Usage. Resilient Traders reserves the right to limit the amount of emails and SMS used for noti­fi­ca­tions. 10,000 is the monthly limit for emails, whereas 100 is the monthly limit for SMS. Resilient Traders reserves the right to change or amend these limits at any time and without warning. Addi­tional rate limits could be added to lifetime plans. No guarantee on noti­fi­ca­tions deliv­er­abil­ity is provided. Addi­tional noti­fi­ca­tions could be bought submitting a request via email to support@mt4professional.com, the price will be decided every time for every request by the sales team based on dif­fer­ent factors (e.g. user country, user noti­fi­ca­tions history), addi­tional noti­fi­ca­tions payment will be added to the regular subscription (with a monthly frequence), when addi­tional noti­fi­ca­tions are bought a full month payment will be made even if the subscription is near to the renewal, the coupon discount cannot be applied to this kind of services. These limits are monthly based, they are not related to subscription billing cycle.

8. Terms of Rate Limit and Banning. Resilient Traders reserves the right to lock temporar­ily or ban users if they exceed or circum­vent limi­ta­tions on access (via rate limit or any other method), calls and use of API, or otherwise if they use the API in a manner that exceeds reasonable request volume, consti­tutes excessive or abusive usage, or otherwise if their behav­iours are not compliant with any part of these terms and condi­tions, or otherwise if they stop paying. Resilient Traders, LLC reserves the right to change or amend these limits at any time and without warning. Addi­tional rate limits could be added to lifetime plans.

9. Ad­di­tional Purchasable Services. Resilient Traders sells addi­tional services, the main two types are addi­tional capac­ity for some items to increase limits as described above (e.g. noti­fi­ca­tions) or consul­tan­cy/de­vel­op­ing/­training services. Every service could be bought submitting a request via email to support@mt4professional.com or directly sched­uling service call or using dedi­cated buttons inserted in the software or member area, the price will be decided every time for every request by the sales team or by auto­matic rules based on the kind of services and amount of services bought, the coupon discount cannot be applied to this kind of services. All services are delivered without any warranty or refund right, you are the sole respon­sible for the usage of deliv­er­ables created or the usage of knowledge you have learnt, in no event will Resilient Traders, LLC be liable for any problem you have. In some cases, the payment in advance may be required. If you want to unsub­scribe from addi­tional recurring services, you have to submit a request via email to support@mt4professional.com. If the service purchased is a consulting call that must be claimed within 12 months of their purchase (unless expressly stated), after this time, the service will no longer be usable.

10. Re­ferral Program. Resilient Traders offers referral programs for all subscribed users, for any people which join via this referral program a credit of $97 (equiv­a­lent to a one-month price) will be provided to the referee and the user who has received the referral. This credit can be used only for the subscrip­tion, it cannot be used to buy addi­tional services. If our systems detect that the users who have subscribed via the referral program are not real, the credit can be revoked. To make sure that users who have subscribed via the referral program are linked with the referee account they have to subscribe within 30 days via the unique link the referee can found inside his member area. In the future, addi­tional limits can be added to the referral program and it can be suspended if frauds are detect­ed.

11. Service Level Agree­ment - SLA. MT4Pro­fes­sion­al.com and Resilient Traders, LLC will use commer­cially reasonable efforts to make MT4Pro­fes­sional available with a Monthly Uptime Percentage of at least 99%. In the event we do not meet the Service Commit­ment, you will be eli­gible for a Service Credit as described below:

• Monthly and Yearly uptime guarantee 99%
• If 95%<up­time <99% credit of 10% of the monthly fee
• If 90%<up­time <95% credit of 20% of the monthly fee
• If uptime <90% credit of 30% of the monthly fee
  No SLA Credit will be provided to lifetime plans. To receive a Service Credit, you must submit a claim via email to support@mt4professional.com. To be eli­gible, the request for credit must be received by us by the next billing cycle after the inci­dent in question occurred and must include:

1. "SLA Credit Request" as the subjec­t
2. the dates and times of each unavail­abil­ity inci­dent you claim
3. the affected account number and email address
4. your request logs that docu­ment the errors and corrob­orate your claimed outage.
   If the Monthly and Yearly Uptime Percentage of your request is confirmed by our technical staff and is less than our Service Commit­ment, then we will issue the Service Credit outlined above within one billing cycle following the month in which your request was confirmed by us. Your failure to provide the request and other infor­mation as required will disqual­ify you from receiving a credit.

Refund Policy

Unless otherwise stated on our website, and since MT4Pro­fes­sion­al.com is offering non-tan­gible irrev­o­cable goods and services, we do not issue refunds once the order is placed and the product is sent or the service is deliv­ered. As a customer, you are respon­sible for under­standing this upon purchasing any item on our site. We do offer a 14-day free trial on initial orders placed during certain specific promo­tions, from time to time.

How­ever, we realize that excep­tional circum­stances can take place with regard to the character of the product we supply.

There­fore, we DO honor requests for the refund on the following reason­s:

Non-de­livery of the product: due to some mailing issues of your e-mail provider or your own mail server you might not receive a delivery e-mail from us. In this case we recommend contacting us for assis­tance. Claims for non-de­livery must be submitted to our Billing depart­ment in writing within 7 days from the order placing date. Otherwise the product will be considered received and download­ed;

Download and/or instal­lation issues: it may happen so that you are having problems while downloading the product or its instal­la­tion. Claims regarding such issues must be submitted to our Technical Support depart­ment. If you do not properly contact us during this period, you agree that we may construe silence as a successful download of the product with no further right of redress or refund for a "­download or instal­lation issue" reason. Failure to receive assis­tance for downloading or instal­lation within 3 days may result in a refund decline;

Major defects: although all the products are thoroughly tested before release, unex­pected errors may occur. Such issues must be submitted for our Technical Support Team's approval. We keep the right to rectify the error or defect within 72 hours. If any de­fi­ciency is approved and we fail to correct it within 72 hours from the date of the initial complaint letter or any other noti­fi­cation provided by a Customer, the refund will be issued to the customer in full without any compen­sa­tions or reim­burse­ments. OR, at customer's choice, replace­ment of the product of the same or around the same value can be offered; Please be advised that temporary access to your server can be requested by our techni­cians in order to iden­tify and fix the possible issues with our Products. Failure to provide such access in a timely manner may result in a delayed reso­lution of the issue. Refusal to provide access to your sever will result in your inabil­ity to qualify for a refund.

Pro­duct not-as-de­scribed: such issues should be reported to our Technical Support Depart­ment within 7 days from the date of the purchase. Clear evi­dence must be provided proving that the purchased product is not as it is described on the website. Complaints which are based merely on the customer's false expec­ta­tions or wishes are not honored. Free product demon­stra­tions are available via our live training webi­na­rs.

Please note that we do not bear any respon­si­bil­ity and therefore we do not satisfy any refund/re­turn/ex­change requests based on incom­pat­i­bil­ity of our products with some third-­party software (plug-ins, add-ons, modules, search engines, scripts, exten­sions etc.) other than those which are specified as compat­ible in a description available on the preview page of each product. 1. ­Gen­eral and Terms of the Agree­ment This agree­ment describes the terms and condi­tions for partic­i­pation in the MT4Pro­fes­sion­al.com and Resilient Traders, LLC affil­iate program. “This Agree­ment” shall mean the contents of the contract between MT4Pro­fes­sion­al.com and Resilient Traders, LLC and the indi­vid­ual or entity who partic­i­pates in the Affil­iate Program (the "Af­fil­i­ate", the “Appli­cant”, or "y­ou") in respect of the Programme. In this agree­ment, “MT4Pro­fes­sional” refers to MT4Pro­fes­sion­al.com and Resilient Traders, LLC, a Delaware Corpo­ra­tion, with whom you are entering this agree­ment. By applying to the MT4Pro­fes­sion­al.com and Resilient Traders, LLC affil­iate program you are confirming that you have read the agree­ment and agree to the terms and condi­tion­s.
   Here on with “affil­i­ates’ site” we refer to https://affiliate.mt4professional.com/, whereas with “home” we refer to the homepage of the same website.
   With the term “system” we refer to the Affil­iate system.

2. The Program The condi­tions and payments amount can change over time, they are shown in the affil­iate home site.
   All the commis­sions are linked to the first affil­iate giving the client a reference if the system is able to inject the refer­ral.
   There are two types of Affil­iate program­s:

   • Pay per Lead: for each lead (a user who has left his/her contact details but not the credit card details or he/she has not started a free trial) is regis­tered, also for clients that leave their data but do not proceed with regis­tra­tion. The commission is gener­ated also for clients who register imme­di­ately, so it’s not in contrast with pay per sales. Of course, one user is counted only one time, so if the same user regis­ters multiple times as lead only one commission is gener­at­ed.
   • Pay per sale: for all clients regis­tered who leave credit card details or who have started a free trial. This commission is given for all sales gener­ated (one time, recur­ring, extra system sales e.g. event sales, extra services and so on). This is lifetime, for the entire life of the client. Some users can have access to exclusive programs and terms not shown here.

3. ­Suit­abil­ity MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to terminate this Agree­ment and the Affil­i­ate’s status at any time for any reason whatso­ever at its sole discre­tion. In partic­ular if MT4Pro­fes­sion­al.com and Resilient Traders, LLC deems that the Affil­i­ate’s website is inap­pro­priate for the Programme then this Agree­ment shall be termi­nated. The Affil­i­ate’s website may be deemed inap­pro­priate if in the view of MT4Pro­fes­sion­al.com and Resilient Traders, LLC it contains, promotes or contains links to sites that are:

   • dis­crim­i­na­tory, sexu­ally explicit or vio­lent mate­rial, or
   • pro­mote, depict or contain links to mate­rial that promote or depict discrim­i­nation based on race, gender, reli­gion, national origin, physical or mental disabil­ity, sexual orien­ta­tion, or age, or
   • con­tains unlawful mate­rial, this shall include but not be limited to mate­ri­als that may possibly violate another’s intel­lec­tual property rights, or
   • con­tains infor­mation regarding, promotes or links to a site that provides infor­mation or promotes illegal activ­ity, or
   • for any other reason that is deemed by MT4Pro­fes­sion­al.com and Resilient Traders, LLC (at its sole discre­tion) to be unsuit­able.
   • Upon clicking on the ‘Create My Account’ you are auto­mat­i­cally accepted on the Program­me.

MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to withdraw Affil­iate status at any time after you have been accepted onto the Programme for any reason that MT4Pro­fes­sion­al.com and Resilient Traders, LLC deems rele­van­t.
Ac­cep­tance into the Programme does not mean that MT4Pro­fes­sion­al.com and Resilient Traders, LLC has specif­i­cally approved the Affil­iate or its website.
MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to accept or reject the affil­i­ation request during the regis­tration phase.

4. Re­ferral Tracking MT4Pro­fes­sion­al.com and Resilient Traders, LLC will provide the Affil­iate with specific Referral Links to link adver­tise­ments and other marketing content to MT4Pro­fes­sion­al.com and Resilient Traders, LLC. MT4Pro­fes­sion­al.com and Resilient Traders, LLC will track users who have visited these Referral Links using cookies which expire after 180 days. The 180 days is valid only for the first action, for other actions there are no time limits (this can change anytime).
   The referral is linked to the first affil­iate getting the visitor to take a specific action, this means that for a specific client only one affil­iate can reference it for pay per lead but another affil­iate can reference it for pay per sales (also here only one affil­iate can make the refer­ence). The referral is linked only if the user takes a rele­vant action (register as lead or start a free trial).
   The tracking is managed in dif­fer­ent ways (cookies, IP, previous actions data - e.g. if a user regis­ters himself and he was already regis­tered as lead the lead data can be used to inject the affil­i­ate), the system tries all ways to inject the affil­iate, the prior­ity, and order of eval­u­ation can change and they are built in a way to give the commission to the first affil­iate to send the visitor to make the action.
   The Affil­iate is not autho­rized to modify or alter the Referral Links or the cookies in any way. MT4Pro­fes­sion­al.com and Resilient Traders, LLC is not respon­sible for any tracking or reporting errors that may result from any modi­fi­ca­tions to the Referral Link or the cookies.

5. Af­fil­iates Commis­sions and Approval The commission rules are shown in the affil­iate home site, they can change anytime. Moreover, some affil­iates can access to some exclusive offers and condi­tion­s.
   All commis­sions are submitted to an approval process, some of them could be auto­mat­i­cally approved. But until the commis­sions aren’t paid out they could be reject­ed.
   The commis­sions (both pay per lead and pay per sales) could be submitted to a quality review process, consid­ering dif­fer­ent factors (clients quality, lead ­con­version rate, churn rate, refund rates, charge­backs rates, payment risk score, etc...). The Commission rejected is not appeal­able, the reject decision is a final deci­sion. It could be given a signup bonus, this bonus is an extra­or­dinary bonus and it could be paid out only if there is at least one pay per sales commission gener­ated and if the minimum payout is respect­ed.
   ­Com­mis­sions gener­ated in one month may have a maximum threshold beyond which commis­sions are not counted and/or paid, this is to prevent abuses.
   There is no fixed rule for this limit but it is a complex process that involves dif­fer­ent checks based on a histor­ical trend, commis­sions quality and also manual checks but a general rule to have this limit is to have a signif­i­cant number greater than the gener­ated commis­sions. This to guarantee the best and fair perfor­mances to all affil­iates and to verify the quali­ty.

6. ­Payout For the payout the affil­iate has to respect the minimum payout amount shown in the affil­iate home site, this could change over time. The commis­sions are auto­mat­i­cally paid out every month (if the threshold is respected) within the first 30 days of the next month using the payment method set in the config­u­ration panel.

7. Re­funds and Charge­backs If there is a refund (also partial) or a chargeback the entire commission related to the charge is written off (added as affil­iate debit) and de­ducted from the next payout. No other fees are de­duct­ed.

8. Ad­ver­tise­ments MT4Pro­fes­sion­al.com and Resilient Traders, LLC hereby grants the Affil­iate a non-ex­clu­sive, non-trans­fer­able, limited license to use the MT4Pro­fes­sion­al.com and Resilient Traders, LLC logos for the sole purpose of promoting our service within the context of the Affil­iate Program. This license will expire upon termi­nation of the Affil­i­ate's partic­i­pation in the Affil­iate Program. The Affil­iate may only display adver­tise­ments that contain MT4Pro­fes­sion­al.com and Resilient Traders, LLC's logos or service marks in good taste. The Affil­iate may not use MT4Pro­fes­sion­al.com and Resilient Traders, LLC's logos or service marks in a manner that, in MT4Pro­fes­sion­al.com and Resilient Traders, LLC's sole discre­tion, portrays MT4Pro­fes­sion­al.com and Resilient Traders, LLC in a negative light. The Affil­iate will be solely respon­sible for its own marketing activ­i­ties. All marketing activ­ities must be profes­sional and in full compliance with all applic­able laws. MT4Pro­fes­sion­al.com and Resilient Traders, LLC may, without prior notice, require the Affil­iate to remove or modify any adver­tise­ments in MT4Pro­fes­sion­al.com and Resilient Traders, LLC's sole discre­tion. In order to receive the commis­sion’s for referring clients to MT4Pro­fes­sion­al.com and Resilient Traders, LLC, the Affil­iate must engage in proper adver­tising. Affil­iates found to be engaging in improper adver­tising shall have their agree­ment termi­nated and their affil­iate status revoked. MT4Pro­fes­sion­al.com and Resilient Traders, LLC shall be the sole and absolute arbiter of what consti­tutes proper adver­tising. A non-ex­haustive list of examples of improper adver­tising shall include but not be limited to:

   • the forwarding of any URLs direct to MT4Pro­fes­sion­al.com and Resilient Traders, LLC (this includes misspells of the above trademark domain); and
   • forcing cookies through iframes;
   • ad­ver­tising through third party networks; with the exception arising from Clause 4.3 below;
   • in­cluding your MT4Pro­fes­sion­al.com and Resilient Traders, LLC affil­iate link within Unso­licited Commercial Email (UCE) or SPAM,
   • in­cluding any of MT4Pro­fes­sion­al.com and Resilient Traders, LLC URL in search advert­s.

Affil­iates are permitted to promote MT4Pro­fes­sion­al.com and Resilient Traders, LLC through various social media commu­ni­ties. However, Affil­iates are not permitted to create groups or specific web pages in social commu­nities whereby they purport or hold themselves out to be repre­sen­ta­tives of MT4Pro­fes­sion­al.com and Resilient Traders, LLC. MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to conclude that you have engaged in an improper method of adver­tising according to our stan­dards, at our sole discre­tion. We may come to such a conclusion even if it is based upon our opinion or mere suspicion or belief and is without any duty on MT4Pro­fes­sion­al.com and Resilient Traders, LLC to prove that our opinion or suspicion is well-­founded; and even if our opinion is proven not to be well-­founded or if another hosting/­domain name companies have not deemed it to be an improper method of adver­tis­ing.
Any Affil­iate found to be adopting improper methods of adver­tising for the purpose of the Programme shall be deemed to have been in breach of this Agree­ment and shall have their Affil­iate status revoked. Such an Affil­iate will therefore imme­di­ately cease in being an Affil­iate of MT4Pro­fes­sion­al.com and Resilient Traders, LLC. Any sales that have been gener­ated through improper adver­tising will not qualify for commission or credit from MT4Pro­fes­sion­al.com and Resilient Traders, LLC.
Any Affil­iate found to be uti­lizing these or any other improper methods of adver­tising may be required to pay back any such commission that has been paid by MT4Pro­fes­sion­al.com and Resilient Traders, LLC to them. If MT4Pro­fes­sion­al.com and Resilient Traders, LLC elects not to enforce this right it shall not be deemed to be a waiver of any other rights that it may have under this Agree­men­t.
Af­fil­iates are permitted to use the MT4Pro­fes­sion­al.com and Resilient Traders, LLC brand and marketing resources available in the Affil­iates section of the MT4Pro­fes­sion­al.com and Resilient Traders, LLC appli­ca­tion. Logos and other assets cannot be modi­fied. The Affil­iate does not gain any trade­mark, copyright or any other rights to these mate­ri­als. The Affil­iate will never imply that they are acting on behalf of MT4Pro­fes­sion­al.com and Resilient Traders, LLC and will never advertise MT4Pro­fes­sion­al.com and Resilient Traders, LLC products directly. The Affil­iate will never bid for adver­tise­ments that compete with MT4Pro­fes­sion­al.com and Resilient Traders, LLC. The Affil­iate will never repre­sent themselves, MT4Pro­fes­sion­al.com and Resilient Traders, LLC or their rela­tionship with MT4Pro­fes­sion­al.com and Resilient Traders, LLC in a false or misleading way.
The Affil­iate will not engage in the distri­b­ution of an unso­licited bulk email (spam) mentioning or refer­encing MT4Pro­fes­sion­al.com and Resilient Traders, LLC.
MT4Pro­fes­sion­al.com and Resilient Traders, LLC agrees to undertake the following oblig­a­tions: - provide all infor­mation necessary to allow the Affil­iate to make necessary the Link from the MT4Pro­fes­sion­al.com and Resilient Traders, LLC to the Affil­i­ate’s site, - processing all orders for MT4Pro­fes­sion­al.com and Resilient Traders, LLC products or services placed by referral following the Link, - tracking the number and amount of rele­vant sales gener­ated through the Link, - providing infor­mation to you regarding commission payments, - credit card autho­riza­tions, payment processing, cancel­la­tions, returns, and all other related client services for MT4Pro­fes­sion­al.com and Resilient Traders, LLC for the purpose of our business, and - estab­lishing the commission balance threshold, payment frequency and payouts of earned commis­sions as contained in Section “Pay­out”.

9. The License MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to provide free eval­u­ation licenses to affil­i­ates.

10. Right to Name as a Reference client Affil­iates shall not create, publish, distribute, or permit any written or graph­ical mate­rial that makes reference to MT4Pro­fes­sion­al.com and Resilient Traders, LLC other than those mentioned in this Agree­ment or otherwise provided by MT4Pro­fes­sion­al.com and Resilient Traders, LLC, without the prior written consent of MT4Pro­fes­sion­al.com and Resilient Traders, LLC.MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to refuse any request for consent under this Agree­men­t.

11. Non-dis­closure Agree­ment All infor­ma­tion, except for the marketing mate­rial, is intended to be confi­dential (also internal guides, eval­u­ation licenses, exclusive offers and so on). The affil­iate shall not during, or at any time after the termi­nation of the engage­ment with the Company, disclose, dissem­i­nate, use or share any Confi­dential Infor­mation in vio­lation of this agree­men­t.

12. Ter­mi­nation The Affil­iate may terminate the Affil­i­ate's partic­i­pation in the Affil­iate Program with imme­diate effect by giving the other party written notice of termi­na­tion. MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to terminate the Affil­i­ate's partic­i­pation in the Affil­iate Program at any time for conduct that is in mate­rial breach of this Affil­iate Agree­ment or for conduct that MT4Pro­fes­sion­al.com and Resilient Traders, LLC, in its sole discre­tion, deems to be harmful to its business or any third party. Upon termi­na­tion, the Affil­iate will lose access to its Affil­iate Dashboard and will forfeit all potential or unpaid Affil­iate Fees.
    Either party has the right to terminate the agree­ment imme­di­ately without prior notice.
    If the Affil­iate termi­nates the agree­ment, no further commis­sions from MT4Pro­fes­sion­al.com and Resilient Traders, LLC will be paid for any past or future client trans­ac­tion­s.
    If MT4Pro­fes­sion­al.com and Resilient Traders, LLC chooses to terminate the agree­ment, if the commis­sions are bigger than the minimum payout a normal payout procedure (with regular time terms) is done will be paid according to normal rules. If commis­sions are smaller than the minimum payout they will be forfeit­ed.
    If the Affil­iate is on a recurring program, MT4Pro­fes­sion­al.com and Resilient Traders, LLC will not be oblig­ated for any future payments after termi­na­tion.

13. ­Mod­i­fi­ca­tions MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to modify or otherwise change the terms of this Agree­ment at any time as it sees fit. MT4Pro­fes­sion­al.com and Resilient Traders, LLC shall make such modi­fi­ca­tions by way of publishing revised terms on the Site. Affil­i­ates’ only remedy in the event of revised terms of this Agree­ment being published shall be to terminate this Agree­ment. An Affil­iate shall be deemed to have accepted any modi­fi­cation to this Agree­ment as published from time to time.
    MT4Pro­fes­sion­al.com and Resilient Traders, LLC may, in its sole discre­tion, change or modify this Affil­iate Agree­ment at any time, with or without notice. Such changes or modi­fi­ca­tions shall be made effective for all Affil­iates upon posting of the modified Affil­iate Agree­ment to this web address: https://affiliate.mt4professional.com. The Affil­iate is respon­sible for reading this docu­ment from time to time to ensure that its use of the Affil­iate Program remains in compliance with this Affil­iate Agree­men­t.
    If any modi­fi­cation is unac­ceptable to the Affil­iate, its sole recourse shall be to terminate this Affil­iate Agree­ment. The Affil­i­ate's continued partic­i­pation in the Affil­iate Program will constitute binding accep­tance of such modi­fi­ca­tion­s.
    We may modify any of the terms and condi­tions within this Agree­ment at any time and at our sole discre­tion. These modi­fi­ca­tions may include, but not limited to changes in the scope of available commis­sions, commission sched­ules, payment proce­dures, and Affil­iate Program rules.

14. ­Gov­erning Law This Agree­ment shall be governed, construed, and enforced in accor­dance with the laws of the United States, without regard to its conflict of laws rules.

15. War­ranty Disclaimers There is no warranty for the correct tracking of the client, this due to technical limits (e.g. the cookie is disabled or the client changes the device/browser and other technical issues), so there is no warranty to have fair and correct client tracking. MT4Pro­fes­sional and Reislient Traders, LLC do not warrant the tracking and its quali­ty.

16. Lim­i­tation of Lia­bil­ity MT4Pro­fes­sion­al.com and Resilient Traders, LLC shall not be liable to the Affil­iate or to any other person, for indirect, inci­dental, or special damages, lost profits, loss of goodwill, lost savings, or any other form of conse­quential damages, regardless of the form of action, even if MT4Pro­fes­sion­al.com and Resilient Traders, LLC has been advised of the possi­bil­ity of such damages, whether resulting from breach of its oblig­a­tions under this Agree­ment or other­wise.
    MT4Pro­fes­sion­al.com and Resilient Traders, LLC’s entire lia­bil­ity in respect of any lia­bil­ity arising under this agree­ment will not exceed the total commission fees paid or payable to the Affil­iate under this Agree­men­t.
    MT4Pro­fes­sion­al.com and Resilient Traders, LLC makes no warranties, either express or implied, concerning the perfor­mance or function­al­ity of the MT4Pro­fes­sion­al.com and Resilient Traders, LLC services, or the Programme as a whole. This includes but is not limited to the Link or any other affil­iate adver­tise­ments and hereby expressly disclaims all implied warranties, including warranties of merchantabil­ity or fitness for a partic­ular use or purpose.
    MT4Pro­fes­sion­al.com and Resilient Traders, LLC shall under no circum­stances be liable to the Affil­iate or to any other person or entity for any loss, injury, or damage, of whatever kind, resulting from or arising out of any mistakes, errors, omissions, delays, or inter­rup­tions in the receipt, trans­mis­sion, or storage of any messages or infor­mation arising out of or in connection with the Programme or MT4Pro­fes­sion­al.com and Resilient Traders, LLC.
    The Affil­iate Program is provided on an "as is" and "as avail­able" basis and the use of the Affil­iate Program is at the Affil­i­ate's own risk. MT4Pro­fes­sion­al.com and Resilient Traders, LLC makes no repre­sen­ta­tions or warranties, either expressed or implied, with respect to the Affil­iate Program, or any service or infor­mation provided through the Affil­iate Program.
    MT4Pro­fes­sion­al.com and Resilient Traders, LLC is not respon­sible for any damages, injury or eco­nomic loss arising from the use of the Affil­iate Program. Should any part of the Affil­iate Program cause damage or incon­ve­nience to the Affil­iate or anyone claiming through the Affil­iate, the Affil­iate assumes respon­si­bil­ity and the entire cost for them. The Affil­iate will indem­nify and hold harmless MT4Pro­fes­sion­al.com and Resilient Traders, LLC, its direc­tors, offi­cers, employees, agents, subsidiaries, and third parties from and against any losses, damages, lia­bil­i­ties, claims, judgments, settle­ments, fines, costs and expenses (including reasonable related expenses, legal fees, costs of inves­ti­ga­tion) arising out of or relating to the Affil­i­ate's or any third party's oper­a­tions or use of the Affil­iate Program.
    MT4Pro­fes­sion­al.com and Resilient Traders, LLC is not respon­sible for actions against law under­taken by affil­iates and it is not respon­sible for spam action­s.

17. Pri­vacy and cookies This affil­iate system uses cookies to track the client’s actions, it uses cookies also for technical reasons (manage login and so on).
    The full privacy detail is shown in the main MT4Pro­fes­sional site https://mt4professional.com/legal.html#privacy-policy.

18. Mis­cel­la­neous The Affil­iate warrants and repre­sents that it is over the age of 18 and is qualified to enter into this Affil­iate Agree­men­t.
    The Affil­iate warrants and repre­sents that its actions and its partic­i­pation in the Affil­iate Program are in compliance with all applic­able laws, rules, regu­la­tions, and any require­ments of govern­mental author­ity at all times. MT4Pro­fes­sion­al.com and Resilient Traders, LLC reserves the right to terminate the Affil­i­ate's partic­i­pation in the Affil­iate Program if MT4Pro­fes­sion­al.com and Resilient Traders, LLC deter­mines, in its sole discre­tion, that the Affil­i­ate's actions or its partic­i­pation in the Affil­iate Program are in vio­lation of any laws, rules, regu­la­tions, or any require­ments of govern­mental author­i­ty.
    This Affil­iate Agree­ment consti­tutes the entire under­standing between MT4Pro­fes­sion­al.com and Resilient Traders, LLC and the Affil­iate. This Affil­iate Agree­ment super­sedes any other contracts or under­standings between the parties hereto and neither party shall be bound by any state­ments or repre­sen­ta­tions that are not embodied in this Agree­men­t.
