Software User Agreement
IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE CONTINUING WITH THE INSTALLATION PROCESS OF THE SOFTWARE ("THE SOFTWARE"). BY INSTALLING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL THE SOFTWARE. ANY REFERENCE TO RESILIENT TRADERS DIRECTLY IMPLIES RESILIENT TRADERS, LLC.
License. If you have purchased a license to the Software, Resilient Traders, LLC grants you a nonexclusive right and license to use the Software and the related documentation (the "Documentation") as set forth in this Agreement. You may use the Software on the specified number of computers subject to the SUBSCRIPTION limitations you registered for. An "account-computer" is defined as a single account on a single computer. For multiple accounts, any combination of "account-computer" is allowed so long as the total combined count is limited to the subscription plan you are on. If you subscribe to the Basic Plan, you can run MT4Professional with One (1) MT4 Account on One (1) computer. If you subscribe to the Plus Plan, you can run MT4Professional with up to Three (3) MT4 Accounts and on up to Three (3) computers. If you subscribe to the Gold Plan, you can run MT4Professional with Five (5) MT4 Accounts on up to Five (5) computers. If you subscribe to the Platinum Plan, you can run MT4Professional with One Hundred (100) MT4 Accounts on up to One Hundred (100) computers. You own the media on which the Software is recorded, but not the Software itself or any copy of it. This license is not a sale of the original or any copy of the Software.
Copying, Transferring or Modifying Software. The Software contains copyrighted material, trade secrets and other proprietary intellectual property. You may not permit concurrent use of the Software unless each user has an applicable license. You may not permit other individuals to use the Software except under the terms listed above. For the purposes of protecting Resilient Traders, LLC trade secrets, you may not decompile, disassemble, reverse engineer or otherwise display the Software in human readable form. You may not modify, translate, rent, lease, distribute or lend the Software, and you may not sell to others the right to use the Software on your computer. You may not remove any proprietary notices or labels on the Software. You may not copy, transfer, transmit, sublicense or assign this license or the Software except as expressly permitted in this Agreement.
Term. If you have purchased a license to the Software, this Agreement and license are effective from the time you accept the terms of this Agreement until this Agreement is terminated. You may terminate this Agreement at any time by destroying all copies of the Software. This Agreement will terminate immediately and without further notice if you fail to comply with any provision of this Agreement. All obligations of confidentiality and restrictions on use, and all other provisions that may reasonably be interpreted to survive termination of this Agreement, will survive termination of this Agreement for any reason. Upon termination, you agree to destroy all copies of the Software. If you have obtained an evaluation copy of the Software, and have not purchased a license to the Software, this Agreement and license are effective for a period of thirty (30) days from the date of installation of the Software.
Warranty Disclaimers. THE SOFTWARE AND THE DOCUMENTATION ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE AND THE DOCUMENTATION IS WITH YOU. SHOULD THE SOFTWARE OR THE DOCUMENTATION PROVE DEFECTIVE, YOU (AND NOT RESILIENT TRADERS) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIR.
RESILIENT TRADERS, LLC DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE IN THE COMBINATION THAT YOU MAY SELECT FOR USE, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. NO ORAL OR WRITTEN STATEMENT BY RESILIENT TRADERS OR BY A REPRESENTATIVE OF RESILIENT TRADERS, LLC SHALL CREATE A WARRANTY OR INCREASE THE SCOPE OF THIS WARRANTY.
Notwithstanding the above, you may have certain warranty rights which vary from state to state and which cannot be disclaimed by contract. Any warranties that by law survive the foregoing disclaimers shall terminate ninety (90) days from the date you received the Software as shown by your receipt. Some states do not allow limitations on how long an implied warranty lasts, so the foregoing limitation may not apply to you if prohibited by law.
Limitation of Liability. YOUR SOLE REMEDIES AND RESILIENT TRADERS, LLC ENTIRE LIABILITY ARE SET FORTH ABOVE. IN NO EVENT WILL RESILIENT TRADERS BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OF THE SOFTWARE, THE INABILITY TO USE THE SOFTWARE, OR ANY DEFECT IN THE SOFTWARE, INCLUDING ANY LOST PROFITS, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT WILL RESILIENT TRADERS TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT YOU PAID FOR THIS PRODUCT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF RELIEF, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
Terms of Disk Space and Bandwidth Usage. Resilient Traders reserves the right to limit the amount of space used to store customer acquired snapshots, images, or system settings and backups. The limit for snapshots storage is 100 Gb, for configurations storage is 1 Gb. The limit for total bandwidth is 100Gb/month. Resilient Traders reserves the right to change or amend these limits at any time and without warning.
Terms of Notifications Usage. Resilient Traders reserves the right to limit the amount of emails and SMS used for notifications. 10,000 is the monthly limit for emails, whereas 100 is the monthly limit for SMS. Resilient Traders reserves the right to change or amend these limits at any time and without warning.
Terms of Rate Limit and Banning. Resilient Traders reserves the right to lock temporarily or ban users if they exceed or circumvent limitations on access (via rate limit or any other method), calls and use of API, or otherwise if they use the API in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise if their behaviours are not compliant with any part of these terms and conditions, or otherwise if they stop paying. Resilient Traders reserves the right to change or amend these limits at any time and without warning.
Service Level Agreement - SLA MT4Professional.com and Resilient Traders, LLC will use commercially reasonable efforts to make MT4Professional available with a Monthly Uptime Percentage of at least 99%. In the event we do not meet the Service Commitment, you will be eligible for a Service Credit as described below:
To receive a Service Credit, you must submit a claim via email to [email protected]. To be eligible, the request for credit must be received by us by the next billing cycle after the incident in question occurred and must include:
If the Monthly and Yearly Uptime Percentage of your request is confirmed by our technical staff and is less than our Service Committment, then we will issue the Service Credit outlined above within one billing cycle following the month in which your request was confirmed by us. Your failure to provide the request and other information as required will disqualify you from receiving a credit.
Unless otherwise stated on our website, and since MT4Professional.com is offering non-tangible irrevocable goods, we do not issue refunds once the order is placed and the product is sent. As a customer, you are responsible for understanding this upon purchasing any item on our site. We do offer a 15-day Money Back Guarantee on initial orders placed during certain specific promotions, from time to time.
However, we realize that exceptional circumstances can take place with regard to the character of the product we supply.
Therefore, we DO honor requests for the refund on the following reasons:
Non-delivery of the product: due to some mailing issues of your e-mail provider or your own mail server you might not receive a delivery e-mail from us. In this case we recommend contacting us for assistance. Claims for non-delivery must be submitted to our Billing department in writing within 7 days from the order placing date. Otherwise the product will be considered received and downloaded;
Download and/or installation issues: it may happen so that you are having problems while downloading the product or its installation. Claims regarding such issues must be submitted to our Technical Support department. If you do not properly contact us during this period, you agree that we may construe silence as a successful download of the product with no further right of redress or refund for a "download or installation issue" reason. Failure to receive assistance for downloading or installation within 3 days may result in a refund decline;
Major defects: although all the products are thoroughly tested before release, unexpected errors may occur. Such issues must be submitted for our Technical Support Team's approval. We keep the right to rectify the error or defect within 72 hours. If any deficiency is approved and we fail to correct it within 72 hours from the date of the initial complaint letter or any other notification provided by a Customer, the refund will be issued to the customer in full without any compensations or reimbursements. OR, at customer's choice, replacement of the product of the same or around the same value can be offered; Please be advised that temporary access to your server can be requested by our technicians in order to identify and fix the possible issues with our Products. Failure to provide such access in a timely manner may result in a delayed resolution of the issue. Refusal to provide access to your sever will result in your inability to qualify for a refund.
Product not-as-described: such issues should be reported to our Technical Support Department within 7 days from the date of the purchase. Clear evidence must be provided proving that the purchased product is not as it is described on the website. Complaints which are based merely on the customer's false expectations or wishes are not honored. Free product demonstrations are available via our live training webinars held every week.
Please note that we do not bear any responsibility and therefore we do not satisfy any refund/return/exchange requests based on incompatibility of our products with some third-party software (plug-ins, add-ons, modules, search engines, scripts, extensions etc.) other than those which are specified as compatible in a description available on the preview page of each product.
